Terms of Service

The terms that govern access to and use of uRun services, websites, APIs, SDKs, CLI tools, documentation, and hosted platform features.

These Terms of Service ("Terms") are an agreement between uRun Platform, Inc. ("uRun," "we," "us," or "our") and the person or organization that accesses or uses the Services ("you" or "Customer"). The "Services" include uRun websites, documentation, APIs, SDKs, CLI tools, dashboards, hosted infrastructure, runtime services, marketplace features, support, and any related software or services we make available.

By creating an account, using the Services, or authorizing another person to use the Services on your behalf, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

If you have a separate signed agreement, order form, data processing addendum, or other written contract with uRun, that agreement controls to the extent it conflicts with these Terms.

01/Accounts and access

You are responsible for keeping account credentials, API keys, deploy keys, tokens, and other authentication materials secure. You are responsible for all activity under your accounts and organizations, including activity by users you invite or authorize.

You must provide accurate account, billing, and contact information and keep it up to date. You must promptly notify us if you believe credentials have been lost, stolen, or used without authorization.

We may suspend or limit access to the Services if we reasonably believe that continued access could harm uRun, the Services, other customers, third parties, or the security or reliability of our systems.

02/Customer content and applications

"Customer Content" means code, prompts, files, data, models, configurations, secrets, credentials, outputs, and other materials that you submit to, deploy on, process with, or generate through the Services.

You retain ownership of Customer Content. You grant uRun a limited license to host, process, transmit, store, copy, and display Customer Content as needed to provide, secure, maintain, and support the Services and to comply with law.

You are responsible for Customer Content and for ensuring that you have all rights, permissions, licenses, consents, and legal bases needed to use Customer Content with the Services. You are also responsible for reviewing any outputs or results before using or relying on them.

Unless we agree in writing, you may not use the Services to process protected health information, payment card data, government classified information, or other data that requires special legal, contractual, or regulatory handling.

03/Data handling and retention

uRun processes Customer Content only to run your workloads and deliver the Services. Specifically:

  • We never train on Customer Content. Prompts, completions, media, files, and other Customer Content are never used to train, fine-tune, or otherwise improve any model. No feature does this today, and we will not introduce one that does without your explicit opt-in.
  • What is retained, and why. uRun is a session platform: session state, including prompts and steering data, is kept with the session (and, for a continuing thread, with the thread it continues), so sessions reconnect, park, and replay. Purging session history removes the session's records and doc state, and archived object-storage copies are time-bounded by platform storage lifecycles. Default media recordings are deleted automatically after 24 hours and can be disabled per stream or for your organization.
  • Persistent Customer Content is customer-controlled. Recordings you pin and data you write to your stores persist because you chose to keep them, and you can delete them at any time. Runtime artifacts are short-lived by design: their records expire after 24 hours by default, and downloads are short-lived.
  • Operational metadata remains. Usage, billing, and diagnostic metadata (such as token counts, timings, and identifiers) is retained as needed to operate, secure, and bill for the Services. It does not include the content of your prompts or completions.

04/Acceptable use

You may not use the Services to:

  • violate law or infringe the rights of others;
  • send spam, phishing, malware, or deceptive content;
  • attempt to gain unauthorized access to systems, accounts, data, or networks;
  • interfere with, disrupt, degrade, overload, scan, or probe the Services or related infrastructure except through an authorized security program;
  • reverse engineer, bypass, or defeat usage limits, security controls, metering, billing, authentication, or access controls;
  • deploy code or content that is unlawful, abusive, harassing, defamatory, discriminatory, or otherwise harmful;
  • use the Services to build, train, or operate systems for biometric identification, surveillance, weapons, or other high-risk uses without our prior written approval; or
  • resell or provide the Services to third parties except as allowed by your plan or a written agreement with uRun.

We may investigate suspected violations and may remove content, suspend workloads, disable credentials, or restrict access where reasonably necessary to protect the Services, customers, or third parties.

05/Security

You are responsible for configuring your applications, users, integrations, and network access appropriately. You must not share production credentials in client-side code, public repositories, logs, prompts, or other places where they may be exposed.

If you discover a vulnerability or security issue involving uRun, report it to security@urun.sh and do not publicly disclose it until we have had a reasonable opportunity to investigate and remediate it.

06/Third-party services and open source

The Services may integrate with or depend on third-party services, software, models, packages, repositories, registries, cloud providers, or identity providers. Your use of third-party services is governed by the applicable third-party terms.

Open source software included in or used with the Services is licensed under the applicable open source licenses. These Terms do not limit your rights under those licenses.

07/Fees, credits, and billing

If you use paid Services, you agree to pay all fees, usage charges, credit consumption, taxes, and other amounts associated with your account or order. Unless otherwise stated in writing, fees are non-refundable and credits have no cash value.

We may change pricing, packaging, quotas, metering, or plan features by posting updated information or giving notice. Changes will not retroactively increase fees for Services already used.

You are responsible for monitoring your usage. We may suspend or limit access for unpaid amounts, failed payment methods, excessive usage, or suspected abuse.

08/Preview and beta features

Some Services may be offered as alpha, beta, preview, experimental, early access, or pre-general-availability features. These features may be incomplete, change without notice, contain errors, or be discontinued. We provide preview features as-is and without service-level commitments unless we agree otherwise in writing.

09/Intellectual property

uRun and its licensors retain all rights, title, and interest in the Services, including software, infrastructure, designs, interfaces, documentation, trademarks, and related intellectual property.

You may use uRun documentation, SDKs, APIs, and CLI tools only as permitted by these Terms, applicable documentation, and any license files included with the materials.

If you provide feedback, suggestions, or ideas about the Services, you grant uRun the right to use them without restriction or compensation.

10/Confidentiality

If either party receives non-public information that is marked confidential or that a reasonable person would understand to be confidential, the receiving party will use reasonable care to protect it and will use it only for purposes related to the Services or the parties' business relationship.

Confidentiality obligations do not apply to information that is publicly available, independently developed, rightfully received from another source without confidentiality obligations, or required to be disclosed by law.

11/Privacy and data protection

Our handling of personal information is governed by our applicable privacy notices and any written data processing terms we enter into with you. You are responsible for providing any required notices and obtaining any required consents for personal information you submit to the Services.

12/Termination

You may stop using the Services at any time. We may suspend or terminate access to the Services if you breach these Terms, fail to pay amounts due, create risk for the Services or other customers, or if we discontinue the Services.

Upon your written request, we will delete Customer Content from production systems as described in our published data handling policy, except where we must retain it to comply with legal, accounting, or security obligations.

After termination, your right to use the Services ends. Sections that by their nature should survive termination will survive, including payment obligations, confidentiality, intellectual property, disclaimers, limitations of liability, indemnity, and dispute provisions.

13/Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available." uRun disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, security, accuracy, and reliability.

You are responsible for determining whether the Services are suitable for your use case and for maintaining appropriate backups, redundancy, monitoring, security controls, and human review.

14/Limitation of liability

To the maximum extent permitted by law, uRun will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business opportunities.

To the maximum extent permitted by law, uRun's total liability for all claims relating to the Services or these Terms will not exceed the greater of (a) the amount you paid to uRun for the Services giving rise to the claim during the 12 months before the event giving rise to liability, or (b) 100 US dollars.

15/Indemnity

You will defend, indemnify, and hold harmless uRun and its officers, directors, employees, contractors, affiliates, and agents from claims, damages, liabilities, costs, and expenses arising from Customer Content, your use of the Services, your breach of these Terms, or your violation of law or third-party rights.

16/Changes to these Terms

We may update these Terms from time to time. If changes are material, we will provide notice by posting the updated Terms, emailing account contacts, or using another reasonable method. Updated Terms are effective when posted unless we state otherwise. Continued use of the Services after the effective date means you accept the updated Terms.

17/Governing law

These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-law rules. The parties will bring any dispute arising from these Terms or the Services in the state or federal courts located in Delaware, and each party consents to those courts' jurisdiction and venue.
